By-Laws of the Clan Henderson Society
The By-Laws of the Clan Henderson Society govern the organisation, administration, and operation of the Society. They define the roles and responsibilities of officers, the structure of the Board of Directors, membership requirements, meeting procedures, and amendment processes.
The current By-Laws were last revised and approved at the Annual General Meeting. Key provisions include:
- Article I — Name & Purpose: The Clan Henderson Society is organised to foster fellowship, preserve heritage, assist in genealogical research, promote Scottish culture, and maintain scholarship programmes.
- Article II — Membership: Open to descendants of MacEanruig (son of Henry) and supporters of the Society's objectives. Annual dues are set by the Board.
- Article III — Officers: President, Vice Presidents (Operations, Membership, Genealogy/DNA, General Counsel), Treasurer, and Secretary. Officers serve two-year terms.
- Article IV — Board of Directors: Governs the Society between Annual General Meetings. Consists of elected officers and appointed board members.
- Article V — Meetings: The Annual General Meeting is held at a Highland Games event selected by the Board. Special meetings may be called by the President or Board.
- Article VI — Amendments: By-Laws may be amended by a two-thirds vote of members present at an Annual General Meeting, with 30 days advance notice.
